Terms of Service

Effective

These Terms of Service (the "Terms") are a binding agreement between you and OrderMap ("OrderMap", "we", "us" or "our"). They govern your access to and use of the websites at ordermap.si and orderflow.sh (the "Website"), the OrderMap trading terminal at app.ordermap.si (the "Terminal"), and the OrderMap Developer API, WebSocket streams and MCP server at api.ordermap.si (together, the "API"), along with all market data, analytics, content, software and documentation we provide through them (together, the "Services").

By creating an account, starting a trial, purchasing a subscription, using an API key or otherwise using the Services, you agree to these Terms, to our Privacy Policy, and to any exchange or data vendor terms that apply to the market data you receive. If you are using the Services on behalf of a company or other organisation, you represent that you have authority to bind it, and "you" refers to that organisation. If you do not agree, do not use the Services.

Please read section 4 (No investment advice and no order execution), section 13 (Disclaimers), section 14 (Limitation of liability) and section 19 (Disputes) carefully. They limit our liability and affect how disputes are resolved.

1. What OrderMap is

OrderMap is a market data visualisation and analytics product for options, futures and stocks. The Services display and derive information from exchange and vendor market data, including prices, trades, quotes, order book depth, options flow, open interest, implied volatility, modelled dealer gamma exposure ("GEX"), regime ratios, volume profiles, key levels, order-flow signals, replay of past sessions and historical data, and deliver it through the Terminal, the API and the Website.

OrderMap is an information tool only. We are not a broker-dealer, futures commission merchant, introducing broker, investment adviser, commodity trading advisor, exchange or trading venue, and we are not registered as any of these with the SEC, the CFTC, FINRA, the NFA or any other regulator. The Services do not place, route, accept or execute orders, do not hold funds or securities, and do not connect to your brokerage account.

We may change, add or remove features, widgets, data sets, instruments, endpoints and plans over time. If we remove a feature that is a material part of a paid plan you are subscribed to, section 7.6 applies.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Services.
  • You may not use the Services if you are located in, or are a national or resident of, a country or region subject to comprehensive US sanctions, or if you are on any US government list of prohibited or restricted parties. You are responsible for complying with the export, sanctions and import laws that apply to you.
  • You must provide accurate information when you register, including a valid email address you control, and keep it up to date. One account is for one natural person. Accounts, sign-in credentials and API keys may not be shared, transferred, resold or used by more than the one person (or, for API keys, the one application owner) they were issued to.
  • You are responsible for everything that happens under your account and API keys. Keep your password, passkeys, devices and keys secure and tell us immediately if you suspect unauthorised use. We may require additional verification, reset credentials or suspend access to protect an account.
  • You can sign in with an email and password, a passkey, or Google. Where you use Google, Google's terms also apply to that sign-in.

3. Market data subscriber status

Exchanges license real-time data differently to professional and non-professional subscribers. When you subscribe, and whenever your circumstances change, you must accurately tell us whether you are a professional subscriber. In general, you are a professional subscriber if you are registered or qualified with the SEC, the CFTC, any state securities agency, any securities or commodities exchange or association, or any commodities or futures contract market; if you are engaged as an investment adviser; if you use the data in connection with a trade or business, or on behalf of any other person or entity; or if you use the data for any purpose other than managing your own personal funds. The exchanges' definitions govern where they differ from this summary.

We may ask you to complete exchange subscriber agreements or self-certification questions before we enable certain data, and we may audit your status. If you misstate your status, you are responsible for any additional fees, penalties or back charges the exchanges assess, and we may suspend data access until the matter is resolved. Section 9 sets out further obligations that apply to market data.

4. No investment advice and no order execution

Nothing in the Services is investment, financial, legal, tax or trading advice, a recommendation, an offer, or a solicitation to buy, sell or hold any security, futures contract, option, commodity or other financial instrument, or to adopt any trading strategy. The Services do not take into account your objectives, financial situation, risk tolerance or needs.

Analytics and derived values such as gamma exposure, regime ratio, implied price, key levels, signals, alerts, profiles and heatmaps are models and estimates built on assumptions (for example about dealer positioning) that may be incomplete or wrong. They describe market data; they do not predict future prices.

"Trades spotted", educational videos, blog posts, examples and other content that show entries, stops, targets or R multiples are hypothetical. They are identified after the market close with the benefit of hindsight, ignore slippage, commissions, fees, liquidity and execution risk, and were not actually traded. Hypothetical results have inherent limitations and do not represent actual trading. Past performance, real or hypothetical, is not indicative of future results.

Trading futures, options and stocks involves substantial risk of loss and is not suitable for everyone. Leveraged products can lose more than the amount invested. You are solely responsible for your trading decisions and for evaluating the merits and risks of any information you obtain through the Services. Consult a qualified professional before making financial decisions.

5. Free trials

We may offer a free trial of a plan. The trial length is shown when you start it (currently 2 days for Terminal plans). Unless the offer says otherwise, a trial is available once per person, and we may refuse or end a trial if we reasonably believe it is being used by someone who has already had one, through multiple accounts, or abusively.

If you provide a payment method to start a trial, your subscription begins and you will be charged the plan price when the trial ends unless you cancel before then. We show the date the trial ends in the Terminal. If you start a trial without a payment method, access ends when the trial ends unless you subscribe.

Trial data access is subject to the same market data terms as paid access. We may change or discontinue trial offers at any time.

6. Plans

The current plans, their features, data coverage, history limits, quotas and prices are described on the pricing page of the Website and in the Terminal at the time you subscribe, and form part of these Terms. They currently include:

PlanSummary
Terminal ProThe OrderMap Terminal with the features and data listed for Pro, billed monthly or yearly.
Terminal EliteEverything in Pro plus the additional features and data listed for Elite, billed monthly or yearly.
Overnight add-onExtended coverage of the overnight session for an eligible Terminal plan, billed monthly.
API DeveloperREST API and MCP server access with the quotas and history window listed for the plan (currently 30 days of history), billed monthly at US$149.99 plus applicable taxes.
API ProEverything in API Developer plus WebSocket streams, higher quotas and a longer history window (currently 365 days), billed monthly at US$249.99 plus applicable taxes.

API plans and Terminal plans are separate subscriptions. An API plan does not include the Terminal and a Terminal plan does not include API access. Quotas, rate limits and history limits apply per account and are enforced automatically; requests over a limit are rejected until the limit resets or you upgrade.

7. Payment, renewal, cancellation and refunds

7.1 Payment processing. Payments are processed by Stripe. By subscribing, you authorise us and Stripe to charge the payment method you provide for the subscription fees, applicable taxes and any other charges you incur. Stripe's terms apply to your use of its checkout and billing portal. We do not store your full card details.

7.2 Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly, as selected) at the then-current price for your plan, and your payment method will be charged at the start of each new period, until you cancel. We will send a receipt for every charge.

7.3 Cancellation. You can cancel at any time in the Terminal under Settings, Billing, or through the Stripe billing portal linked there. Cancellation takes effect at the end of the current paid period; you keep access until then and will not be charged again. Cancelling does not delete your account.

7.4 Refunds. Except where required by law or expressly stated otherwise, fees are non-refundable and we do not provide refunds for partial billing periods, unused time, unused quota or downgrades. If you are a consumer in a jurisdiction that grants a statutory right to withdraw from a distance contract, you agree that the Services begin immediately when you subscribe and acknowledge that you lose that right once access begins, to the extent the law allows. We may, at our discretion, issue a full or partial refund in a specific case; doing so does not oblige us to do so again.

7.5 Upgrades, downgrades and price changes. Upgrades take effect immediately and are charged on a prorated basis for the remainder of the current period; access to the upgraded features is granted once the upgrade payment succeeds. Downgrades take effect at the start of the next period. We may change prices for future periods; we will give you at least 30 days' notice by email before a price increase applies to your subscription, and you may cancel before it takes effect.

7.6 Material changes to a paid plan. If we permanently remove a feature or data set that is a material part of a paid plan during a period you have already paid for, and we do not provide a reasonable substitute, you may cancel and we will refund the unused portion of that period.

7.7 Failed payments. If a payment fails, Stripe may retry it and we will notify you. We may suspend paid features until payment succeeds and may cancel the subscription if payment is not resolved within a reasonable time.

7.8 Taxes. Prices are exclusive of taxes unless stated otherwise. Stripe calculates applicable sales tax, VAT or GST based on the location information you provide, and you are responsible for those taxes.

7.9 Chargebacks. If you dispute a charge with your card issuer instead of contacting us, we may suspend your account while the dispute is open. Please contact us first so we can resolve the problem.

7.10 Exchange fees. Some exchange data carries per-user fees that depend on your subscriber status. Where these are included in your plan price we say so; where they are not, we will show them before you enable the data.

8. Your license to use the Services

Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during your subscription to access and use the Services for your own internal purposes: for non-professional subscribers, your personal, non-commercial trading research; for professional subscribers and API customers, the internal business purposes permitted by your plan and by the exchange terms that apply.

We and our licensors own all rights in the Services, including the software, interfaces, designs, widgets, models, derived analytics, documentation, trademarks and content, and in all improvements to them. These Terms do not transfer any ownership to you. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you.

9. Market data terms

Market data in the Services is provided by exchanges and data vendors, including CME Group, Cboe, OPRA, Nasdaq, NYSE and others, through licensed vendors. Each of them owns its data and imposes conditions on its use, which we are required to pass through to you. By using the data you agree to the following, in addition to any exchange subscriber agreement you accept:

  • You will use real-time data only for the purposes permitted by your subscriber status and plan, and only on the number of devices and by the number of people your subscription allows.
  • You will not redistribute, retransmit, resell, sublicense, publish, broadcast or otherwise make available market data, or anything derived from it that could substitute for it, to any other person, organisation, website, application, chat group, social media channel or automated system, except as expressly permitted by your plan.
  • You will not use market data to create, calculate, price or settle an index, benchmark or derivative product, or for any other non-display use, unless you have the required license directly from the exchange.
  • You will not remove or obscure any exchange attribution, delay notice or proprietary notice.
  • Exchanges and vendors may modify, suspend or terminate the availability of their data, or require us to cut off your access, at any time and without notice. We are not responsible for such actions.
  • Exchanges, vendors and their affiliates make no warranty about the data and have no liability to you for its accuracy, completeness, timeliness or availability, or for any loss arising from its use. You will not bring any claim against them in connection with the data.
  • You will cooperate with reasonable requests from us, an exchange or a vendor to verify your compliance, including audits of your use and subscriber status.

Data may be delayed, incomplete, corrected after the fact or unavailable for some instruments, sessions or periods. Coverage of a product or root in our catalogue does not guarantee that data for it is available at any particular time. Where we display a source label or an unavailability notice, it reflects what our systems received.

10. Developer API, WebSocket and MCP terms

If you subscribe to an API plan, these additional terms apply:

  • API keys are confidential credentials. Keep them out of client-side code, public repositories and shared documents. We show each key only once, at creation. You are responsible for all usage under your keys and must revoke a key immediately if it may have been exposed.
  • You must stay within the quotas, rate limits, concurrency limits, history windows and export limits of your plan. We may throttle, queue or reject requests that exceed them, and repeated or deliberate circumvention (for example rotating keys or accounts to multiply quota) is a material breach.
  • Unauthenticated access to public endpoints such as status and the OpenAPI document is subject to per-network limits, and failed authentication attempts may lead to temporary blocks.
  • You may build applications that use API data for your own internal use. You may not offer API data, or data derived from it that could substitute for it, to third parties, including through a public application, dashboard, bot, model or data feed, unless we agree in writing and any required exchange licenses are in place.
  • If you connect the MCP server to an AI assistant or agent, you are responsible for the assistant's actions taken with your key and for ensuring that market data provided to the assistant is not redistributed, retained for training, or exposed to other users in breach of this section or section 9.
  • We may change the API, including adding, deprecating or removing endpoints, fields and parameters. We will try to announce breaking changes to stable endpoints in advance through the documentation or by email, but may make changes immediately where needed for security, legal or exchange compliance reasons.
  • Data exports are reserved and charged against your quota when they are accepted and settled when they complete. Failed exports are released according to the documentation.
  • Any uptime figures we publish are targets, not guarantees, unless we have signed a separate service level agreement with you.

11. Acceptable use

You agree not to, and not to help anyone else to:

  • share your account or credentials, or let anyone other than you use your subscription;
  • scrape, crawl, screen-capture at scale, record, cache or systematically download data from the Terminal or the Website, or use automated means to access the Services other than through the API in accordance with section 10;
  • copy, frame, mirror or republish any part of the Services, including screenshots or video of real-time data, for commercial purposes or in a way that substitutes for the data; occasional non-commercial screenshots for discussion that show delayed or historical data with attribution are permitted unless an exchange prohibits it;
  • reverse engineer, decompile, disassemble or attempt to derive the source code, models or algorithms of the Services, except to the extent the law expressly permits despite this restriction;
  • probe, scan or test the vulnerability of the Services, bypass rate limits, entitlements or security measures, or access accounts, data or systems you are not authorised to access; good-faith security research is welcome if you report findings to us privately and do not access other users' data or degrade the Services;
  • interfere with or disrupt the Services, including by sending excessive traffic, malware or malicious code;
  • use the Services to build or train a competing product, or to benchmark the Services for publication without our consent;
  • use the Services for any unlawful purpose, including market manipulation, spoofing, fraud, or violating securities, commodities, sanctions or privacy laws;
  • misrepresent your identity, affiliation or subscriber status, or create accounts by automated means;
  • remove proprietary notices, or use our name, logo or trademarks without permission.

12. Your content

You keep ownership of the content you create in the Services, such as workspace layouts, watchlists, alert rules, notes and your profile picture ("Your Content"). You grant us a worldwide, non-exclusive license to host, store, copy, process and display Your Content only as needed to provide and secure the Services for you. Profile pictures are stored at publicly accessible URLs, as described in our Privacy Policy.

You are responsible for Your Content and confirm that you have the rights to it and that it does not infringe anyone's rights or break the law. We may remove content that violates these Terms.

13. Disclaimers

THE SERVICES, INCLUDING ALL MARKET DATA, ANALYTICS, SIGNALS, ALERTS, CONTENT AND DOCUMENTATION, ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR LICENSORS, EXCHANGES AND DATA VENDORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT THE SERVICES OR ANY DATA WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, COMPLETE OR ACCURATE, THAT ALERTS OR NOTIFICATIONS WILL BE DELIVERED OR DELIVERED ON TIME, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY RESULT WILL BE ACHIEVED. MARKET DATA CAN BE DELAYED, MISSING OR WRONG, AND MODELLED VALUES SUCH AS GAMMA EXPOSURE ARE ESTIMATES. YOU SHOULD NOT RELY ON THE SERVICES AS YOUR SOLE SOURCE OF INFORMATION FOR ANY TRADING DECISION.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. In that case, warranties are limited to the shortest period and minimum extent the law allows.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ORDERMAP, ITS AFFILIATES, OR THEIR OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, EXCHANGES OR DATA VENDORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100.

These limitations apply even if a remedy fails of its essential purpose, and they reflect an allocation of risk that is part of the basis of our pricing. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by negligence.

15. Indemnity

You will defend, indemnify and hold harmless OrderMap, its affiliates, licensors, exchanges and data vendors, and their officers, employees and agents, from any claims, damages, losses, liabilities, fees, penalties (including exchange fees and back charges) and expenses, including reasonable legal fees, arising out of or relating to your use of the Services, Your Content, your breach of these Terms or of any exchange terms, your misstatement of subscriber status, any redistribution of data by you or through your account or keys, or your violation of any law or third-party right.

16. Suspension and termination

You may stop using the Services and close your account at any time by contacting us or through account settings where available. Closing an account cancels any active subscription at the end of its paid period, subject to section 7.

We may suspend or terminate your access, in whole or in part, immediately and without prior notice if you breach these Terms or any exchange terms, if your payment fails, if an exchange or vendor requires it, if we reasonably suspect fraud, abuse, key sharing or redistribution, if required by law, or if continued provision would expose us or others to harm or legal liability. Where reasonable, we will tell you why and give you a chance to fix the problem. If we terminate your subscription without cause, we will refund the unused portion of any prepaid fees.

We may also discontinue the Services entirely with at least 30 days' notice, in which case we will refund the unused portion of prepaid fees.

On termination, your license ends and you must stop using the Services and any data obtained from them, except as the exchange terms permit you to retain it. Sections 4, 8 (ownership and feedback), 9 (vendor disclaimers), 13, 14, 15, 19 and 20, and any accrued payment obligations, survive termination.

17. Third-party services

The Services rely on and link to third-party services, including Stripe for payments, Google for sign-in, Resend for email, cloud and network providers, and the exchanges and vendors that provide market data. Your use of those services may be subject to their own terms. We are not responsible for third-party services, websites or content that we do not control.

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new effective date. If a change is material, we will notify you by email or in the Terminal at least 30 days before it takes effect, unless the change is required sooner by law or by an exchange or vendor. Continuing to use the Services after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Services and cancel your subscription before the change takes effect; changes do not apply retroactively to disputes that arose before them.

19. Governing law and disputes

19.1 Informal resolution. Before starting any formal proceeding, you agree to first contact us at legal@ordermap.si with a description of the dispute and the relief you seek, and to try in good faith to resolve it with us for at least 30 days.

19.2 Governing law. These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19.3 Venue. Subject to section 19.4, the courts located in the State of Delaware have exclusive jurisdiction over any dispute, and you and we consent to their personal jurisdiction. Either party may bring an individual claim in small claims court if it qualifies.

19.4 Class action waiver. To the fullest extent permitted by law, you and we agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding.

19.5 Consumers. If you are a consumer living in the European Economic Area, the United Kingdom or another jurisdiction whose law gives you the right to bring proceedings in your local courts or to rely on mandatory consumer protections, nothing in this section takes those rights away.

19.6 Time limit. To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within one year after the claim arose.

20. General

  • Entire agreement. These Terms, the Privacy Policy, the plan details shown when you subscribe and any exchange terms you accept are the entire agreement between you and us about the Services, and replace any prior agreements on the same subject.
  • Order of precedence. If there is a conflict, exchange terms prevail over these Terms with respect to market data, and a separate written agreement signed by us prevails over these Terms with respect to its subject.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganisation or sale of assets, or to an affiliate.
  • Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms will remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including exchange or vendor outages, internet or power failures, cyberattacks, acts of government, labour disputes, natural disasters, pandemics or war.
  • Relationship. No agency, partnership, joint venture, employment or fiduciary relationship is created by these Terms.
  • Notices. We may give notices by email to the address on your account, in the Terminal, or by posting on the Website. You must send legal notices to us at the address in section 21.
  • Electronic communications. You agree to receive communications from us electronically, and that electronic agreements, notices and disclosures satisfy any legal requirement that they be in writing.
  • Language. These Terms are written in English. Any translation is for convenience only, and the English version controls.
  • Headings are for convenience only, and "including" means "including without limitation".
